Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Torc Construction Client Portal, available on the web at portal.torcconstruction.com and as a mobile application (together, the "Portal"), operated by Torc Construction LLC ("Torc Construction," "we," "us," or "our"). By creating an account or using the Portal, you agree to these Terms. If you do not agree, do not use the Portal.

1. The service

The Portal is a private tool that lets Torc Construction's clients view their project information (such as schedule, payments, documents, and approvals) and lets subcontractors view job-site files for projects they are assigned to. Access is provided at Torc Construction's discretion and is limited to the materials assigned to your account.

2. Accounts and eligibility

• Accounts are approved by Torc Construction. Requesting an account does not guarantee access.
• You must provide accurate information and keep your login credentials confidential. You are responsible for activity that occurs under your account.
• You must be at least 18 years old to create an account.
• Notify us promptly at tom@torcconstruction.com if you believe your account has been accessed without authorization.

3. Acceptable use

You agree not to:

• Access or attempt to access any account, project, or file not assigned to you;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Portal or its systems;
• Copy, distribute, or share project materials except as intended for your legitimate involvement in the project;
• Use the Portal for any unlawful purpose or in violation of these Terms.

4. Content and intellectual property

Project documents, plans, renderings, photos, and other materials made available through the Portal are the property of Torc Construction and/or its clients and are provided to you solely for your involvement in the applicable project. The Portal, its design, and its software are the property of Torc Construction. You are granted a limited, non-exclusive, non-transferable, revocable right to use the Portal for its intended purpose.

5. Approvals and communications

Certain actions in the Portal, such as approving an item, may be recorded with your name, the date, and the time as part of the project record. Approvals and other project records reflect real decisions and may be relied upon by Torc Construction.

6. Disclaimers

The Portal is provided "as is" and "as available." To the fullest extent permitted by law, Torc Construction disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Portal will be uninterrupted, error-free, or secure, and information shown may change as a project progresses. Nothing in the Portal creates or modifies any construction contract between you and Torc Construction; the terms of your signed contract control.

7. Limitation of liability

To the fullest extent permitted by law, Torc Construction and its owners, employees, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, arising from or related to your use of the Portal.

8. Termination

We may suspend or terminate your access to the Portal at any time, with or without notice, including if you violate these Terms or when a project concludes. You may stop using the Portal and delete your account at any time from the Account screen.

9. Governing law

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Maricopa County, Arizona.

10. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Effective" date above and post the updated Terms here. Continued use of the Portal after changes take effect constitutes acceptance of the updated Terms.
